Terms of Service

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use our Services. By using our Services, you represent that you meet these requirements.

2. Description of Services

Katexs provides autonomous AI infrastructure services, including but not limited to:

• AI voice reception and sales agents
• AI chat agents
• CRM and pipeline infrastructure (including GoHighLevel builds and management)
• Workflow automation
• Lead generation, qualification, and follow-up systems
• Revenue growth and reactivation campaigns
• Reporting dashboards

The specific scope of services for paying clients is defined in an individual Service Agreement, Statement of Work, or order form, which incorporates these Terms by reference.

3. The Live Demo

Our website includes a live AI voice and chat demo ("Demo") for evaluation purposes only. By using the Demo:

• You acknowledge that conversations may be recorded, transcribed, and stored
• You agree not to use the Demo for any unlawful, abusive, harassing, or fraudulent purpose
• You acknowledge the Demo is provided for illustrative purposes and actual deployed AI agent performance for paying clients may vary based on configuration, industry, and use case
• Katexs reserves the right to limit, monitor, or terminate Demo access at any time without notice

4. Client Responsibilities

If you engage Katexs as a paying client, you agree to:

• Provide accurate and complete information necessary to configure and deploy your AI infrastructure
• Obtain all necessary consents from your own customers regarding AI interaction, call recording, and data processing, in compliance with applicable law (including but not limited to TCPA, CCPA, GDPR, and any state or federal telemarketing/communications regulations)
• Use the Services only for lawful business purposes
• Not use the Services to send unsolicited communications in violation of applicable law
• Maintain the confidentiality of any login credentials provided
• Pay all fees according to the agreed Service Agreement

You are solely responsible for ensuring your use of AI voice and chat agents, automated SMS, and automated email communications complies with all applicable laws in your jurisdiction, including consent and opt-out requirements. Katexs provides the infrastructure; compliance with communications law in your specific use case is your responsibility, and we strongly recommend consulting your own legal counsel.

5. Payment Terms

Fees for Services are set out in the applicable Service Agreement or order form. Unless otherwise stated:

• Fees are due according to the payment schedule specified in your agreement
• Late payments may result in suspension of Services
• All fees are non-refundable except as expressly stated in your Service Agreement or required by law
• Katexs reserves the right to change pricing for future terms with reasonable notice

6. Intellectual Property

6.1 Katexs IP: All technology, software, AI training methodologies, processes, designs, trademarks, and content created by Katexs (excluding client-specific data) remain the exclusive property of Katexs. Nothing in these Terms grants you ownership of Katexs's underlying technology or intellectual property.

6.2 Client Data: All customer/lead data, call transcripts, chat logs, and CRM data generated through your use of deployed Katexs infrastructure belongs to you, the client. Katexs acts as a service provider/processor of this data on your behalf.

6.3 License: Katexs grants you a limited, non-exclusive, non-transferable license to use the Services during the term of your Service Agreement, solely for your internal business purposes.

7. AI Agent Performance Disclaimer

Katexs uses artificial intelligence, including large language models provided by third parties (including but not limited to Anthropic and Retell AI), to power voice and chat agents. While we design, train, and continuously improve these agents for accuracy and effectiveness:

• AI agents may occasionally produce incorrect, incomplete, or unexpected responses
• Katexs does not guarantee specific business outcomes, conversion rates, or revenue results from the use of AI agents, although we will work in good faith to optimize performance
• Any specific results, case studies, or statistics referenced on our website or in marketing materials are illustrative examples and do not guarantee similar results for your specific business
• You are responsible for reviewing and monitoring AI agent interactions related to your business

8. Third-Party Services

Our Services integrate with third-party platforms including but not limited to Retell AI, Anthropic, Twilio, GoHighLevel, Supabase, n8n, and Resend. Your use of these integrated platforms may be subject to their respective terms of service and privacy policies. Katexs is not responsible for the performance, availability, security, or practices of third-party platforms.

9. Limitation of Liability

To the maximum extent permitted by law:

Katexs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services, even if Katexs has been advised of the possibility of such damages.

Katexs's total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to Katexs in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Katexs, its founders, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms
• Your violation of any applicable law, including communications and data privacy law
• Your use of the Services to communicate with your customers
• Any content or data you provide to Katexs
• Your violation of any third-party rights

11. Termination

Katexs reserves the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including for violation of these Terms.

Either party may terminate a Service Agreement according to the terms specified in that agreement. Upon termination, you remain responsible for any outstanding fees owed.

12. Confidentiality

Both parties agree to keep confidential any proprietary, non-public information disclosed during the course of the business relationship, including but not limited to business strategies, technical infrastructure, pricing, and client data. This obligation survives termination of any Service Agreement.

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of the state in which Katexs is incorporated/headquartered, without regard to conflict of law principles.

Arbitration: Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by a recognized arbitration association, rather than in court, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized use of confidential information.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted on an individual basis only, and not as part of a class, consolidated, or representative action.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Katexs does not warrant that the Services will be uninterrupted, error-free, or completely secure.

15. Modifications to Terms

Katexs reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a new "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and Katexs regarding the Services and supersede any prior agreements.
